These Terms of Use ("Terms") govern access to distinctimpression.com and all printing, decoration, design, and related services from Distinct Impression, a shop operated by DI Holdings LLC ("we," "us," or "our"). By requesting a quote, approving a proof, paying an invoice, using the website, or otherwise ordering work, you agree to these Terms.

The shop

Quotes, proofs, and orders

Quotes are estimates, not a guarantee of price or delivery, until we confirm the job in writing and you approve the proof. Artwork, sizes, quantities, and due dates must be confirmed before production. Your written, emailed, or on-screen approval of a proof is authorization to produce. We are not responsible for errors you approved.

We may refuse or stop any job that we reasonably believe is unlawful, infringing, defamatory, or outside our capability.

Customer artwork and files

You represent that you own or have licensed all artwork, names, logos, photos, and copy you give us, and that production will not infringe any third-party right. You will defend and indemnify Distinct Impression and DI Holdings LLC against claims, damages, and expenses (including reasonable attorneys' fees) arising from customer-supplied content or from the intended use of the finished goods.

Files we create for your job remain our production tools unless a written agreement says otherwise. We may keep files to support reprints.

Production, quantity, and color

Ship dates and due dates are targets, not guarantees. Delay from late files, late payment, equipment, weather, or carriers does not entitle you to cancel without paying for work done and materials ordered.

We do not ship unordered extras. Production spoilage may reduce the delivered count. We aim to keep that under-run under 1% on runs of 1,000 or more, and 2% to 3% on smaller runs. You are billed for pieces delivered unless we agree otherwise in writing.

Printed color varies by substrate, ink system, and lighting. We match an approved proof, not a monitor, a previous order, or a PMS book on a different material.

Customer-supplied garments or substrates are produced as-is. We are not responsible for pre-existing defects, shrinkage, or dye migration in goods you supply.

Payment

Payment is due as stated on the invoice or at checkout. We may require payment in full before release. Past-due balances may accrue interest at the maximum rate allowed by Arizona law, plus collection costs. Title to goods remains with us until paid. We may withhold or reclaim unpaid goods.

Website card payments are processed by Stripe. Your use of Stripe is also subject to Stripe's terms.

Website

You may use distinctimpression.com for lawful shop business. You may not scrape, overload, reverse engineer, or interfere with the site. Content on the site (other than your own submitted files) is owned by us or our licensors. We may change or take down the site at any time.

Limitation of liability

To the maximum extent permitted by law, Distinct Impression and DI Holdings LLC are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost events, or lost business, even if advised of the possibility. Our total liability for any claim arising from a job or the website is limited to the amount you paid us for that specific job.

Some states do not allow certain limitations. If Arizona law limits these terms, they apply to the fullest extent allowed.

Indemnity

You will indemnify and hold harmless Distinct Impression and DI Holdings LLC from claims arising out of your breach of these Terms, your artwork, or your use of the goods.

Privacy and SMS

Our Privacy Policy at https://distinctimpression.com/policies/privacy-policy explains how we handle personal information, including SMS. If you consent to texts, message frequency varies, message and data rates may apply, reply STOP to opt out, HELP for help, and consent is not a condition of purchase.

Refunds

Custom goods and deposits are handled under our Refund Policy at https://distinctimpression.com/policies/refund-policy.

Governing law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Exclusive venue is the state or federal courts in Pima County, Arizona. You waive any right to participate in a class or representative action against us.

Changes

We may update these Terms. The "Last updated" date will change when we do. Continued use after an update is acceptance of the revised Terms.
